Terms of Service

1. Acceptance of Terms

By accessing or using SynergyPEO ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

SynergyPEO provides cloud-based PEO software including HR management, payroll processing, benefits administration, time tracking, compliance tools, and reporting capabilities.

3. User Accounts

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Immediately notifying us of any unauthorized access
  • Using accurate and up-to-date information

4. Acceptable Use

You agree NOT to:

  • Violate any applicable laws or regulations
  • Attempt to gain unauthorized access to the Service
  • Upload viruses, malware, or malicious code
  • Reverse engineer or decompile the software
  • Share your account credentials with unauthorized users
  • Use the Service to process data for third parties without authorization

5. Data Ownership & License

Your Data: You retain all rights to data you input into the Service.

Our License: You grant us a limited license to use your data solely to provide the Service.

Our IP: SynergyPEO retains all rights to the software, branding, and intellectual property.

6. Fees & Payment

  • Subscription Fees: Billed monthly or annually as agreed in your contract
  • Late Payment: 1.5% monthly interest on overdue balances
  • Refund Policy: No refunds for unused months; cancel anytime for future billing
  • Price Changes: We may change prices with 30 days' notice

7. Service Level Agreement (SLA)

  • Uptime: 99.99% monthly uptime guarantee (excludes planned maintenance)
  • Planned Maintenance: Scheduled during low-traffic periods with 48 hours' notice
  • SLA Credits: Service credits issued if uptime falls below 99.9%

8. Data Security & Privacy

We implement industry-standard security measures (AES-256 encryption, SOC 2 compliance). However, no system is 100% secure. See our Privacy Policy for details.

9. Termination

By You: Cancel your subscription anytime. Access continues until end of billing period.

By Us: We may suspend/terminate your account for:

  • Violation of these Terms
  • Non-payment
  • Illegal activity or abuse

    AS-IS Service: The Service is provided "as is" without warranties of any kind.

    Limitation: Our liability is limited to the fees paid in the 12 months prior to the claim. We are not liable for indirect, consequential, or punitive damages.

    Accuracy: You are responsible for reviewing payroll calculations and reporting errors promptly.

    11. Indemnification

    You agree to indemnify SynergyPEO from claims arising from your use of the Service, violation of these Terms, or infringement of third-party rights.

    12. Dispute Resolution

    • Governing Law: Delaware law governs these Terms
    • Arbitration: Disputes resolved via binding arbitration (AAA rules)
    • No Class Actions: You agree to resolve disputes individually

    13. Changes to Terms

    We may update these Terms. Material changes will be communicated 30 days before taking effect. Continued use constitutes acceptance.
